1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SandeshAI ("Company," "we," "us," or "our") governing your access to and use of the SandeshAI platform, including our website (www.sandeshai.com), WhatsApp automation services, Google Sheets integration, mobile applications, and all related services (collectively, the "Platform" or "Services").

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS.If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify, update, or change these Terms at any time without prior notice. Changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms. We recommend reviewing this page regularly.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age Requirements

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are of legal age to form a binding contract.

2.2 Business Use

If you are using the Platform on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2.3 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use
  • Ensuring your account information is accurate and up-to-date

3. DESCRIPTION OF SERVICES

SandeshAI provides WhatsApp automation and integration services, including but not limited to:

  • WhatsApp Business API integration and automation
  • Google Sheets integration for data management
  • Automated message sending and chat management
  • Contact management and segmentation
  • Analytics and reporting features
  • Flow-based automation builder
  • AI-powered chat responses

IMPORTANT:

Our Services rely on third-party platforms including WhatsApp Business API, Google APIs, and other external services. We do not control these third-party services and are not responsible for their availability, functionality, or changes to their terms of service.

4. USER OBLIGATIONS AND PROHIBITED USES

4.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable local, national, or international law or regulation
  • Send spam, unsolicited messages, or engage in any form of harassment
  • Transmit any content that is unlawful, harmful, threatening, abusive, defamatory, vulgar, obscene, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any activity that could damage, disable, or impair the Platform
  • Attempt to gain unauthorized access to any portion of the Platform
  • Use the Platform to transmit viruses, malware, or any malicious code
  • Scrape, copy, or reverse engineer any part of the Platform
  • Use the Platform in violation of WhatsApp's Commerce Policy or Terms of Service
  • Send messages to users who have not opted-in to receive communications
  • Violate any applicable anti-spam, data protection, or privacy laws (including GDPR, CCPA, etc.)
  • Use the Platform for any illegal activities including fraud, money laundering, or terrorist financing

4.2 WhatsApp Compliance

You acknowledge that you are solely responsible for compliance with WhatsApp's Business Policy, Commerce Policy, and Terms of Service. Any violation may result in:

  • Suspension or termination of your WhatsApp Business account by WhatsApp
  • Immediate termination of your SandeshAI account without refund
  • Legal action by WhatsApp or affected third parties

WE ARE NOT LIABLE FOR ANY CONSEQUENCES ARISING FROM YOUR VIOLATION OF WHATSAPP POLICIES.

5. DATA SECURITY, PRIVACY, AND USER RESPONSIBILITY

5.1 Our Security Measures

We implement commercially reasonable security measures to protect data transmitted through the Platform. However, NO SECURITY SYSTEM IS IMPENETRABLE. We cannot guarantee the absolute security of data.

5.2 Your Data Responsibilities

You are solely responsible for:

  • Obtaining all necessary consents from your contacts before sending messages
  • Compliance with all applicable data protection laws (GDPR, CCPA, DPDPA, etc.)
  • Maintaining your own backups of all data
  • Securing your own devices and internet connections
  • Any unauthorized access resulting from your failure to secure your credentials
  • Ensuring that data you upload does not violate any third-party rights

5.3 Data Processing

When you use our Platform, you authorize us to access and process data from your connected accounts (WhatsApp Business, Google Sheets, etc.) as necessary to provide the Services. Our processing of personal data is governed by our Privacy Policy.

5.4 Third-Party Data Processors

We may use third-party service providers to process data on our behalf (hosting, analytics, payment processing, etc.). We are not responsible for the security practices of these third parties.

DATA BREACH DISCLAIMER:

In the event of any unauthorized access, data breach, or security incident affecting the Platform or your data, we will make reasonable efforts to notify you as required by law. However, WE SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR COSTS ARISING FROM ANY SECURITY BREACH, DATA LOSS, OR UNAUTHORIZED ACCESS, regardless of the cause. You acknowledge and accept this risk by using the Platform.

6. THIRD-PARTY SERVICES AND INTEGRATIONS

6.1 WhatsApp Business API

Our Platform integrates with WhatsApp Business API, which is owned and operated by Meta Platforms, Inc. You acknowledge that:

  • Your use of WhatsApp through our Platform is subject to WhatsApp's Terms of Service
  • We have no control over WhatsApp's availability, pricing, or policies
  • WhatsApp may change their API, pricing, or terms at any time without notice to us
  • We are not responsible for any interruptions, changes, or terminations by WhatsApp

6.2 Google Services Integration

Our Platform uses Google APIs for Google Sheets integration and authentication. By using these features, you agree to:

  • Google's Terms of Service and Privacy Policy
  • Our limited use of Google user data in accordance with Google API Services User Data Policy
  • The access permissions you grant when connecting your Google account

We use Google user data only to provide and improve our Services. We do not:

  • Transfer Google user data to third parties (except as necessary to provide the Services)
  • Use Google user data for serving advertisements
  • Allow humans to read Google user data (except with explicit consent, for security purposes, or as required by law)

6.3 Other Third-Party Services

The Platform may integrate with or link to other third-party services. We are not responsible for the availability, content, privacy policies, or practices of any third-party services.

THIRD-PARTY DISCLAIMER:

ALL THIRD-PARTY SERVICES ARE PROVIDED "AS IS" BY THE RESPECTIVE THIRD PARTIES. WE MAKE NO WARRANTIES OR REPRESENTATIONS REGARDING THIRD-PARTY SERVICES AND SHALL NOT BE LIABLE FOR ANY ISSUES ARISING FROM YOUR USE OF THEM.

7. PAYMENT TERMS AND BILLING

7.1 Subscription Fees

Access to certain features of the Platform requires payment of subscription fees. By subscribing, you agree to pay all applicable fees as described on our pricing page.

7.2 Billing and Renewals

  • Subscription fees are billed in advance on a monthly or annual basis
  • Subscriptions automatically renew unless cancelled before the renewal date
  • You authorize us to charge your payment method on file
  • We are not responsible for any fees or charges imposed by your bank or payment provider

7.3 Price Changes

We reserve the right to change our prices at any time. Price changes will take effect at the start of the next billing cycle after notice is provided.

7.4 Taxes

All fees are exclusive of applicable taxes (GST, VAT, sales tax, etc.). You are responsible for paying all taxes associated with your use of the Platform.

7.5 No Refunds

All payments are non-refundable except as expressly provided in our Refund Policy. We do not provide refunds for:

  • Partial billing periods
  • Unused features or message credits
  • Service interruptions caused by third parties
  • Your failure to comply with these Terms

7.6 Payment Disputes

If you initiate a chargeback or payment dispute without attempting to resolve the issue with us first, we reserve the right to immediately suspend or terminate your account and pursue all available legal remedies.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Our Intellectual Property

The Platform and all content, features, and functionality (including but not limited to software, text, graphics, logos, images, audio, video, and the design, selection, and arrangement thereof) are owned by SandeshAI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes.

8.3 Your Content

You retain all rights to any content you upload or create through the Platform ("Your Content"). However, by uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and transmit Your Content solely to provide and improve the Services.

8.4 Content Warranty

You represent and warrant that you own or have the necessary rights to Your Content and that it does not infringe any third-party rights.

8.5 DMCA and Copyright Infringement

We respect intellectual property rights. If you believe content on the Platform infringes your copyright, please contact us at contact@sandeshai.com with detailed information.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

9.1 "AS IS" AND "AS AVAILABLE" BASIS

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
  • WARRANTIES REGARDING ACCURACY, RELIABILITY, OR AVAILABILITY OF THE PLATFORM
  • WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • WARRANTIES REGARDING RESULTS OBTAINED FROM USING THE PLATFORM

9.2 No Guarantee of Availability

We do not guarantee that the Platform will be available at all times or that it will be free from errors, viruses, or other harmful components. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without notice or liability.

9.3 LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SANDESHAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE PLATFORM
  • ANY DAMAGES ARISING FROM THIRD-PARTY SERVICES (WHATSAPP, GOOGLE, ETC.)
  • ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS, DATA BREACHES, OR SECURITY INCIDENTS
  • ANY DAMAGES ARISING FROM ERRORS, OMISSIONS, INTERRUPTIONS, OR DELAYS
  • ANY DAMAGES ARISING FROM YOUR VIOLATION OF THESE TERMS OR THIRD-PARTY RIGHTS

IN ANY CASE, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS LESS.

9.4 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

9.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SandeshAI, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any law, regulation, or third-party rights
  • Your Content or any data you upload to the Platform
  • Your violation of WhatsApp, Google, or other third-party policies
  • Any unauthorized access to your account resulting from your negligence
  • Any messages you send or actions you take using the Platform

This indemnification obligation will survive termination of these Terms and your use of the Platform.

11. ACCOUNT SUSPENSION AND TERMINATION

11.1 Termination by You

You may cancel your account at any time through your account settings or by contacting us. Cancellation will be effective at the end of your current billing period.

11.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms
  • Suspected fraud or illegal activity
  • Non-payment of fees
  • Excessive use or abuse of the Platform
  • Violation of third-party policies (WhatsApp, Google, etc.)
  • At our sole discretion for any operational or business reason

11.3 Effect of Termination

Upon termination:

  • Your right to use the Platform will immediately cease
  • We may delete your account and all associated data
  • You will not be entitled to any refunds
  • Sections of these Terms that by their nature should survive termination will survive

11.4 Data Retention After Termination

We may retain your data for 30 days after termination. After that, all data will be permanently deleted and cannot be recovered. We are not obligated to maintain backups or provide you with copies of your data after termination.

12. DISPUTE RESOLUTION AND GOVERNING LAW

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

12.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in [Your City], India for the resolution of any disputes arising from or relating to these Terms or your use of the Platform.

13. GENERAL PROVISIONS

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SandeshAI regarding the Platform.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Relationship

Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and SandeshAI.

13.6 Headings

The section headings in these Terms are for convenience only and have no legal effect.
